Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Kaphila API services (the "Service") provided by Kaphila API / Kaphila Technologies ("Kaphila", "we", "us" or "our"). Please read them carefully.
1. Acceptance
By registering for an account, accessing, or using the Service you agree to these Terms. If you do not agree, do not use the Service.
2. Definitions
Capitalized terms used in these Terms have the following meanings:
- Account — your account on Kaphila used to access the Service.
- Customer — the entity that registers for and uses the Service.
- Service — the APIs, user interfaces, webhooks, documentation, SIP trunking, voice and messaging features provided by Kaphila.
3. Eligibility & Account Registration
You must be at least 18 years old and able to form a binding contract to create an Account. You agree to provide accurate and complete information during registration and to update that information as needed. You are responsible for activity that occurs on your Account, and for safeguarding your credentials.
4. Services & Acceptable Use
Kaphila provides programmable voice, SMS/MMS, SIP trunking, and related telephony services. You agree to use the Service only for lawful purposes and in compliance with applicable laws (including TCPA, GDPR, local telecom regulations) and industry best practices.
Prohibited uses include (non-exhaustive):
- Unsolicited mass marketing that violates applicable spam or telemarketing laws.
- Fraudulent, deceptive, or illegal activity, including spoofing caller ID to mislead recipients.
- Sending content that violates intellectual property, privacy, or other third-party rights.
- Using the Service to facilitate criminal activity or harm others.
Kaphila reserves the right to suspend or terminate any Account that violates these rules or which we reasonably suspect is high risk.
5. Number Activation, Regulatory Compliance & Documentation
Telecommunications services are subject to local laws and carrier policies. For certain countries and phone number types (e.g., toll-free, local, emergency-sensitive ranges) additional verification or documentation may be required prior to activation (company registration, ID, proof of address, or letter of authorization).
You agree to provide any requested documentation to comply with carrier or regulatory requirements. Failure to provide requested information may delay or prevent activation.
6. Fees, Billing & Refunds
Usage of the Service is billed according to the pricing available on our Pricing page or in your quote/contract. You are responsible for all fees incurred on your Account. Billing terms (prepaid credits, postpaid invoices, payment methods) are described in your Account settings.
Refunds: Except as otherwise required by law or a specific agreement with Kaphila, fees are non-refundable. For disputes, contact [email protected].
7. Service Levels & Suspension
Kaphila aims to provide reliable services and may publish an SLA describing uptime commitments. We may suspend or restrict your access immediately if we reasonably believe your Account is being used for fraudulent, abusive, or illegal activity, or to prevent harm to network, carriers, or other customers.
8. Data Protection & Privacy
We process personal data in accordance with our Privacy Policy. You are responsible for obtaining any consents required for the personal data you submit through the Service (for example, for sending SMS messages or placing calls to individuals subject to data protection laws).
9. Security
We employ reasonable administrative, technical, and physical measures to protect Service data. You must also keep your credentials secure and implement recommended security practices, including rotating API keys and using HTTPS for webhooks.
10. Intellectual Property
All rights, title and interest in the Service (including code, documentation, trademarks, and logos) are owned by Kaphila or our licensors. You may not copy, modify, create derivative works, or reverse engineer the Service except as expressly permitted in writing.
11. Indemnification
You agree to defend, indemnify, and hold harmless Kaphila and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Service or violation of these Terms.
12. Limitation of Liability
To the maximum extent permitted by law, Kaphila's aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount paid by you to Kaphila in the 12 months preceding the claim. Kaphila is not liable for indirect, incidental, special, punitive, or consequential damages.
13. Termination
Either party may terminate the relationship under these Terms in accordance with any separate written agreement or by closing your Account. Upon termination, any outstanding fees remain payable and Kaphila may delete or retain your Account data as described in the Privacy Policy.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.
15. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated by a notice on our site or via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
